SECTION 1. DEFINITIONS

The following terms used in these Terms & Conditions shall have the following meaning:

1. Company — Allegro sp. z o.o. with its registered office in Poznań, at ul. Wierzbięcice 1B, 61-569 Poznań, entered in the Register of Entrepreneurs kept by the District Court for Poznań – Nowe Miasto i Wilda in Poznań, 8th Commercial Division of the National Court Register under KRS number: 0000635012, share capital: PLN 40,000,00, Tax Identification Number (NIP): 525-26-74-798, National Business Registry Number (REGON): 365331553.
2. Black Friday 2025 — a Campaign organized by the Company.
3. Campaign - period of time freely specified by the Company. Offers qualified for the Campaign receive a special Offer badge: "-x%". Campaigns are run exclusively in the Company-administered open-source online trading platform available at the allegro.hu domain.
4. Terms & Conditions — these Terms and Conditions which specify the rules of the Partners' participation in the Campaign and form an integral part of the agreement between the Company and the Partner.
5. Allegro — an open e-commerce platform where Transactions are carried out and other Transaction-related services are provided, operated at the allegro.pl internet domain and at other national domains.
6. Partner — a User that concludes the Agreement with the Company on the participation in the Campaign.
7. Agreement — an agreement between the Partner and the Company concerning the Partner’s participation in the Campaign which is considered to be concluded by accepting the present Terms and Conditions.

Capitalized terms not defined above shall have the meaning assigned to them in the Allegro Terms & Conditions.

SECTION 2. BENEFITS AND GENERAL TERMS OF PARTICIPATION

1. The Campaign period runs from 31/10/2025 at 00:00 (GMT + 01:00) to 01/12/2025 at 23:59 (GMT + 01:00).

2. The Campaign is intended for Users with an active Business Account on Allegro who, as of the opening date for applications for the relevant edition of the Campaign, meet all of the following conditions:

   a) have an active Business Account

   b) have configured at least one payment method from those available on Allegro, in accordance with Appendix No. 7a or 7b of the Allegro Terms & Conditions,

   c) have no arrears towards the Company for the use of services available on Allegro,

   d) achieve a Sales Quality rating at least at the "Neutral" level on the Business Account referred to in sub-paragraph a) above,

   e) accepted these Terms & Conditions.

3. Offers participating in the Campaign will be marked "-x%" badge. Badge will be displayed until the end of a given Black Friday 2025 campaign. The display time of the badge depends on the date of joining the campaign. If you sign up during the pre-campaign sign-up period, the badge will be visible for the entire campaign. If you submit your offer during the campaign period, the badge display time will be correspondingly shorter.

4. The Company may, at its sole discretion, promote Offers included in the Campaign:

   a) in promotional areas at Allegro made available for the Campaign,

   b) in the email communication sent to Buyers.

5. No additional fees or charges will be payable for participation in the Campaign over and above the applicable standard fees set out in the Allegro Terms and Conditions.

SECTION 3. DETAILED CONDITIONS FOR SUBMITTING OFFERS TO CAMPAIGNS

1. Partners may only submit active Offers to the Company, as per the requirements below (Submission content):

   a) listing an ongoing or a new Offer on allegro.hu for Goods that have been listed on Allegro for more that 15 days (i.e. no Goods listed within 15 days are allowed to participate),

   b) determining the required parameters for the Goods,

   c) determining the required parameters for the Offer, i.e., Condition > New, Offer type > Buy Now.

2. Partners can submit Offers to the Campaign via: the "Advertising and Promotion" tab, and then "Campaigns & Programs" tab -> Black Friday 2025, excluding Offers located in the category:

   Collections and Art - Collections - Militaria - Chivalry - Weapons (93543)

   Collections and Art - Collections - Model Building - Modeling Blueprints (1273)

   Electronics - Audio, Video and Household Appliances - Electronic Gadgets - Accessories for tobacco heaters (321903)

   Kids - Feeding - Baby Foods - Baby Formulas (99472)

3. Once submitted, the content of the submission and its compliance with these Terms & Conditions shall be verified by the Company. The Partner shall be notified of the verification result within 1 working day from the date of submission to the Company. Offers can be submitted from 20.10.2025 to 28.10.2025. After the verification notice was sent by the Company, the Partner is entitled to withdraw the submitted Offer only 24 hours before the start date of the Campaign. Throughout the Campaign the Partner is not permitted to withdraw from participation in the Campaign, close or modify the Offer, including increasing the price in the Offer. The Partner has the right to further decrease the price at its own discretion in the Offer during the Campaign.

4. Submission of Offers should include a price reduction proposal in the Offer expressed in "%," amounting to at least 10% of the prior price of the Goods. The prior price means the lowest price applied by the Partner on allegro.hu during a 30-days period of time before the start date of the Campaign (this price will be shown in the Offer as a crossed-out price), or in case the Partner joins later to the Campaign, then the lowest price applied to the Product in the 30 days prior to joining the Campaign. If the product has been listed for less than 30 days, the lowest price will be calculated based on the last 15 days. The lowest price within 30 (15) days is calculated by taking into account the start date of the Campaign, or in case the Partner joins later to the Campaign, then the date of joining the Campaign. If the Partner further reduces the price during the Campaign, the Company, as the platform operator, due to technical limitations, will indicate as the prior price the latest previous discounted price applied in the campaign even in the case of further discounts made by the Partner during the campaign. This is expressly acknowledged and accepted by the Partner, who thereby agrees not to assert any claim against Allegro based on or in connection with this solution. Partner agrees not to de-list and then re-list a product that had been listed as from 2 months before the Campaign resulting that for the purposes of the Campaign Partner can attach a higher prior price upon the new listing of the Offer compared to a situation where the product would have been continuously listed. The same applies to Offers that ran out of stock during the Campaign, which must not re-stocked as a new Offer with higher prior price than the initial Campaign stock. Allegro reserves the right to remove non-compliant Offers from the Campaign.
5. The Partner may impose a purchase limit for any of the Offers submitted to the Company. A purchase limit is only appropriate if it applies only to sales above a reasonable quantity of products available for sale. This is to ensure the availability of the Goods for the greater number of consumers and to avoid abusive wholesale purchases.
6. Submitting an Offer to the Campaign shall be tantamount to accepting the Terms & Conditions and the terms of the Campaign, and positive verification of the content of the submission by the Company against the criteria described in the Terms & Conditions shall be tantamount to concluding the Agreement with the Company as part of the Campaign. By participating in the Campaign, the Partner declares that they agree that the Company shall display the price of the Goods listed as part of the Campaign based on Partner’s Offer submission for the Campaign duration, in accordance with their request and the data provided in the submission form. In this case the special Offer badge: "-x%" will be added to the Offer in exactly the same manner as if the Partner had set that price.
7. The Company reserves that the price of the product in the Offer submitted to the Campaign may not be changed (i.e. the Company will not display the discounted price in the Offer submission for this Campaign) if the Partner's Account has a sales suspension and the required parameters, such as the complaint, the warranty, the delivery, or mandatory item parameters, are not set.

8. The Company reserves that if the Offer qualified for the Campaign is closed due to:

   a) the expiry of the Offer validity period,

   b) sale of all units of the Goods available in the Offer,

the relisting of the Offer (closed/expired as described above) with the price set before the date of qualifying for the Campaign (the non-discounted price) shall be possible only when the Partner fills in the Offer relisting form again, provided that these Terms & Conditions are fully complied with.

SECTION 4. PERSONAL DATA

The Company is the controller of Users personal data in connection with the provision of the Service, within the meaning of Article 4 paragraph 7 of the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and the free movement of such data, and repealing Directive 95/46 / EC (General Data Protection Regulation) ("GDPR"). Personal data processing principles are provided in Appendix No. 5 of the Allegro Terms & Conditions titled "Privacy protection policy.

SECTION 5. FINAL PROVISIONS

1. All complaints regarding the Campaign should be submitted in writing within 30 days of the incident against which the complaint is lodged using the contact form.
2. The Company reserves the right to amend and supplement these Terms & Conditions at any time. The Company notifies the Partners about the amendments, that will be announced and published at https://allegro.hu/sugo/kapcsolat and become effective on the date indicated by the Company. At the same time, if a Partner does not accept those amendments, they may submit a termination notice electronically (via the contact form, by the time such amendments become effective. If the termination notice referred to in the preceding sentence is not delivered to the Company, the Partner will be deemed to have accepted the amendments to the Terms & Conditions.
3. The Company may at any time verify the requirements referred to in Sections 2 and 3 above. In the event of the negative outcome of the verification referred to in the preceding sentence, the Company may request the Partner to update the Offer so that it meets the requirements specified in the Terms & Conditions. Otherwise, the Partner may lose the opportunity to participate in the Campaign.

4. Regardless of the Partner meeting the terms specified in Sections 2 and 3 above, in justified cases, in particular, when the Partner:

   a) Fails to comply with the Terms & Conditions or the Allegro Terms & Conditions, in particular, if such failure results in the Account being suspended or in an excessive number of removed Offers, or transactional problems in relation to the sales volume;

   b) Acts in a way that results in the loss of trust towards that User, or otherwise fails to meet the obligations related to their participation in the Campaign;

The Company reserves the right to refuse to qualify the Partner for the Campaign or remove the Partner from the Campaign. In the situation referred to in the previous sentence, the Company shall justify its decision at the request of the Partner.

5. The Company may remove the Partner from the Campaign and suspend the Partner's Account on the Allegro website without prior notice in the event that the Promotion Partner has taken any steps to circumvent the security measures or caused data falsification.
6. All disputes arising from the provision of services under the Campaign will be settled by the common court competent for the registered office of the Company.
7. For matters not explicitly provided for in these Terms & Conditions, the relevant provisions of the Allegro Terms & Conditions shall apply accordingly.

9. The Black Friday 2025 campaign cannot be combined with other promotions.
